Terms of Service

Welcome to Clawly. These Terms of Service ("Terms") govern your access to and use of the Clawly platform, including the website (clawly.chat), mobile applications, APIs, and any related services (collectively, the "Service") provided by Clawly ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Account Registration

To use certain features of the Service, you must register for an account. When you register, you agree to provide accurate, current, and complete information and to keep this information up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use.

2. Eligibility

You must be at least 13 years of age to use the Service. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. By using the Service, you represent and warrant that you meet these eligibility requirements.

3. The Service

Clawly provides a fully managed AI agent platform. Each user can claim an AI agent instance, chat with it in real time, install skills from ClawHub, and connect the agent to third-party channels such as Slack, Discord, and other supported integrations. The Service is provided "as is" and we continuously work to improve it.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful, abusive, or fraudulent purpose.
• Attempt to gain unauthorized access to the Service, other accounts, or computer systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Upload or transmit malware, viruses, or any harmful code.
• Use the AI agent to generate content that is hateful, violent, sexually exploitative, or otherwise violates applicable law.
• Reverse-engineer, decompile, or disassemble any part of the Service except as permitted by law.
• Scrape, crawl, or use automated means to access the Service beyond what is explicitly permitted via our APIs.

5. User Content

You retain ownership of any content you provide to the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, process, and store such content solely for the purpose of providing, maintaining, and improving the Service. You represent that you own or have the necessary rights to all User Content you submit.

6. AI-Generated Content

The Service may generate responses, suggestions, and other outputs using artificial intelligence ("AI Outputs"). AI Outputs are provided for informational purposes and may not always be accurate, complete, or up to date. You should independently verify any AI Output before relying on it. We do not guarantee the accuracy of AI Outputs and disclaim all liability for decisions made based on them.

7. Third-Party Integrations

The Service allows you to connect to third-party platforms and services. Your use of such integrations is subject to the respective third party's terms and policies. We are not responsible for any third-party service, and any data you share with third parties through the Service is at your own risk.

8. Intellectual Property

The Service, including its design, code, logos, trademarks, and all related intellectual property, is owned by Clawly or its licensors. Nothing in these Terms grants you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms. The Clawly runtime is powered by the OpenClaw open-source project, licensed under its own terms.

9. Pricing & Payment

The Service may offer free and paid plans. If you subscribe to a paid plan, you agree to pay all applicable fees. Fees are non-refundable except as required by law or as explicitly stated in the plan description. We reserve the right to change pricing at any time, with reasonable notice provided for active subscriptions.

10. Suspension and Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users or the Service. You may delete your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately and we may delete your data in accordance with our Privacy Policy.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, 2EN AI AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING OUT OF YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR $100 USD, WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify and hold harmless Clawly, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Service or your violation of these Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on the Service and updating the "Effective Date" above. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the new Terms.
